TERMS AND CONDITIONS

Terms and Conditions

  1. Resources

    1. The client will provide Tina Howard Consulting with the necessary resources during normal business hours and shall obtain all licenses as Tina Howard Consulting will require to perform its obligation under the Agreement

  2. Services

    1. Tina Howard Consulting will provide the services in accordance with the Statement of Work and these terms and conditions, in consideration of payment of the fees set out in the Statement of Work.

  3. Payment of fees

    1. Tina Howard Consulting will invoice the client for payment of the fees and the client will pay them to Tina Howard Consulting as required by the director.

  4. Late Payment

    1. Payments are due on or before the due date specified on the invoice(s) submitted by Tina Howard Consulting. We have built in a seven day grace period for all payments. There will be a $100.00 late fee if payment is received after the late payment date. The Services shall be performed at the hourly billing rates and/or unit prices included in Tina Howard Consulting’s Scope of Work. If hourly billing applies, the itemized invoice shall reflect the hours spent by the Consultant in performing its Services pursuant to this Agreement

  5. Expenses

    1. The client will be responsible for travel and lodging expenses over 70 miles and any workshop

  6. Fees

    1. The fees set forth in the Statement of Work shall be either stated as fixed or on a time and material basis. Tina Howard Consulting will ne entitled to increase any fees due under this agreement, by giving the client 30 days’ written notice.

  7. Site regulations

    1. Tina Howard Consulting and the client will agree that any staff from Tina Howard Consulting will be required to follow the rules and guidelines set forth by the client to ensure safety and health of personnel and security on those premises.

  8. Non-Solicitation

    1. The client and Tina Howard Consulting agrees that for the period of the Agreement and until expiry of twelve months after termination of the agreement it shall not without the prior written agreement of the other party knowingly employ or engage on any basis or offer employment or engagement to any staff of the other party who have been associated with the provision of the Services to the client.

  9. Liability

    1. Neither party excludes or limits liability to other party for death and or personal injury cause by its negligence, fraud, breach of the implied terms as to title as set out in section 12 Sale of Goods Act 1979

  10. Termination

    1. Agreement may be canceled by either party at any time for any reason by written notice.

  11. Duration

    1. Unless terminated earlier the Agreement shall continue until the Services have been fully performed and all fees and expenses have been paid
